TERMS AND CONDITIONS

1. GENERAL

These Terms and Conditions of Sale and any attachments govern the sales of products purchased hereunder and prevail over any conflicting or inconsistent terms and conditions appearing on any purchase order submitted by Buyer. Servo's acknowledgment and acceptance of Buyer's purchase order is expressly made conditional on Buyer's assent to these Terms and Conditions. No change or modification of these Terms and Conditions shall be valid or binding on either party unless in writing and signed by an authorized representative of each party, as a part of or modification to the quotation. Servo reserves the right to modify or change designs and specifications at its discretion. Servo is not obligated to upgrade existing equipment to meet new designs and/or specifications, nor is it liable for either unauthorized engineering changes or parts used to maintain or upgrade equipment.

2. DELIVERY

Servo will make every reasonable effort to meet any delivery dates quoted; however, Servo will not be liable for any special, incidental or consequential damages resulting from delivery delays or inability to deliver.

3. PAYMENT(Credit Terms)

Payment terms for Servo dealers are net ten days from invoice date upon approval of the Buyer's credit. Terms for non-dealers purchasing parts are C.O.D. For non-dealer shipments outside the United States, Servo will provide proforma invoices (if requested) and all purchase orders must be in accordance with Servo's quotation. Invoices unpaid for longer than thirty days after submission shall be subject to a monthly debt service charge. In accordance with Federal Truth in lending laws, this charge shall be 1-1/2% per month on the unpaid balance, the equivalent of 18% per annum simple interest.

4. TAXES

Prices stated are exclusive of all federal, state and local sales, use excise, value added, privileges and similar taxes and tariffs, duties, fees, or licenses. Such taxes imposed on Servo or which Servo has a duty to collect in connection with the sale or delivery of the products described on any attachment shall be paid by buyer and will appear as separate items on the invoice.

5. SHIPMENT, RISK OF LOSS

Deliveries are F.O.B. Servo shipping dock and the prices quoted do not include freight or insurance. Title and risk of loss shall pass to Buyer upon tender of the products by Servo to a common carrier. In the absence of specific written instruction from Buyer, Servo will select the common carrier, but Servo shall not thereby assume any liability in connection with the shipment. Buyer shall be responsible for any freight charge and any insurance charge. If the products are shipped freight prepaid, Buyer shall pay Servo the appropriate freight and insurance charges which will be shown as separate items on the invoice.

6. SOFTWARE LICENSE

Except as to software governed by a separate agreement, all software furnished hereunder is licensed by Servo to Buyer on a non-transferable and non-exclusive basis for use by Buyer. The usage of the software is restricted to equipment for which or with which the software was acquired. Buyer may not copy the software, in whole or in part, for any use. Notwithstanding paragraph 5 hereof, title to the software shall remain with Servo. Acquisition of Servo software requires the execution of a separate license agreement. If Servo and Buyer execute a separate license agreement, the terms and conditions of that separate agreement will control as to the software in the event of conflict with these terms and conditions.

7.WARRANTY

One Year-Limited Warranty. The Seller warrants that the products to be delivered under this purchase order will be free from defects in material and workmanship under normal use and service. Servo Products Company warrants that the software will perform substantially in accordance with the accompanying written materials for this product. Servo's sole obligation under this warranty will be to provide the support services intended to make the software conform to its description and to correct operational defects. Seller's obligations under this Warranty are limited to replacing or repairing or giving credit for, at its option, at its factory, and of said products which shall, within one (1) year after delivery to the customer, be returned to the Seller's factory of origin, transportation charges prepaid and which are, after examination determined to be defective. THIS WARRANTY IS EXPRESSED IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED, STATUTORY, OR IMPLIED INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND OF ALL OTHER OBLIGATIONS OR LIABILITIES ON THE SELLER'S PART, AND IT NEITHER ASSUMES NOR AUTHORIZES ANY OTHER PERSON TO ASSUME FOR THE SELLER ANY OTHER LIABILITIES IN CONNECTION WITH THE SALE OF SAID ARTICLES. This Warranty shall not apply to any of such products which shall have been repaired or altered, except by the Seller or its authorized service centers or which have been subjected to misuse, negligence, or accident. The aforementioned provisions do not extend the original warranty period of any product which has either been repaired or replaced by Seller.

8. LIMITATIONS

THE REMEDIES PROVIDED HEREIN ARE BUYER'S SOLE AND EXCLUSIVE REMEDIES. IN NO EFFECT SHALL SERVO BE LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OR PROFITS) WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

9. GOVERNING LAW

Any dispute regarding the interpretation or validity hereof shall be governed by the laws of the State of California. The parties hereby agree that any dispute relating to the products sold hereunder shall be subject to the jurisdiction of the courts within the State of California.
